Connexus Living, Inc. — Terms of Service
IMPORTANT NOTICE FOR U.S. USERS
These Terms contain a binding arbitration clause and class action waiver. Please review Sections 18–19 carefully.
1. AGREEMENT TO TERMS
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Connexus Living, Inc. (“Connexus,” “we,” “our,” or “us”). These Terms govern your access to and use of the Connexus platform, including all websites, applications, and services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an entity, you represent and warrant that you have authority to bind that entity.
2. SERVICES
Connexus provides a cloud-based software platform that enables organizations to manage procurement, vendor sourcing, contract workflows, compliance, analytics, and communication.
Connexus is not a party to any agreements between Customers and third-party vendors and does not guarantee vendor performance, pricing, or outcomes.
3. ACCOUNTS AND SECURITY
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of login credentials
- Promptly notify Connexus of unauthorized us
Connexus may suspend or terminate accounts for violations of these Terms, suspected fraud, or security risks.
4. FEES AND PAYMENT TERMS
- Fees are billed in advance on a subscription basis
- Fees are non-refundable except as required by law or expressly stated in a written agreement
- Late payments may result in suspension of Service
Connexus may adjust pricing upon renewal with prior notice.
5. TERM AND TERMINATION
These Terms remain in effect for the duration of your subscription.
Either party may terminate:
- For material breach, with 30 days’ written notice and opportunity to cure
- Immediately for unlawful use or security risk
Upon termination:
- Access to the Service will cease improvements
- Customer remains responsible for unpaid fees
- Customer may request export of its data within 30 days
6. CUSTOMER DATA
Customer retains ownership of all data submitted to the Service (“Customer Data”).
You grant Connexus a limited, non-exclusive license to:
- Process Customer Data to provide the Service
- Generate anonymized, aggregated data (“Aggregated Data”)
Aggregated Data will not identify any Customer.
7. DATA PROTECTION AND SECURITY
Connexus will implement commercially reasonable administrative, technical, and organizational safeguards to protect Customer Data.
To the extent applicable:
- Connexus acts as a data processor and Customer acts as a data controller
- Connexus will comply with applicable data protection laws (including CCPA and GDPR where applicable)
8. INTELLECTUAL PROPERTY
Connexus retains all rights, title, and interest in the Service, including all software, technology, and content
Customer receives a limited, non-exclusive, non-transferable license to use the Service for internal business purposes.
9. ACCEPTABLE USE
Customer shall not:
- Use the Service unlawfully
- Interfere with system integrity or performance
- Reverse engineer or attempt to access source code
- Use the Service to compete with Connexus
10. THIRD-PARTY SERVICES
The Service may integrate with third-party services. Connexus is not responsible for third-party services or their terms.
11. DISCLAIMERS
The service is provided “as is” and “as available.” Connexus disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Connexus does not guarantee:
- Accuracy of analytics or insights
- Vendor performance
- Continuous availability
AI and analytics outputs are for informational purposes only and do not constitute guarantees.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Neither party shall be liable for indirect, incidental, special, or consequential damages.
- Connexus’s total liability shall not exceed the fees paid by customer in the twelve (12) months preceding the claim.
13. INDEMNIFICATION
Customer shall indemnify Connexus against claims arising from Customer’s use of the Service or violation of these Terms.
Connexus shall indemnify Customer against third-party claims that the Service infringes intellectual property rights.
14. ELECTRONIC SIGNATURES
Customer agrees that electronic signatures and records are legally binding under applicable law, including the ESIGN Act and UETA.
15. SERVICE MODIFICATIONS
Connexus may modify or update the Service. Material changes will be communicated in advance where practicable.
16. CHANGES TO TERMS
Connexus may update these Terms. Continued use after changes constitutes acceptance.
17. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
18. DISPUTE RESOLUTION AND ARBITRATION
All disputes shall be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association.
19. OPT-OUT
You may opt out of arbitration within 30 days of first acceptance by providing written notice.
20. GENERAL PROVISIONS
- No partnership or agency relationship is created
- If any provision is invalid, the remainder will remain in effect
- These Terms constitute the entire agreement
